The Nigeria Tax Act 2025: A New Year’s Gift for Small Business?

31st December 2025 2 min de lectura

While we are all celebrating the New Year, the Federal Inland Revenue Service (FIRS) is preparing to implement the new tax laws starting tomorrow, January 1, 2026. While there has been political noise about VAT distribution, the actual text of the Nigeria Tax Act (NTA) 2025 contains a goldmine for small tech businesses.

The Headline: 0% CIT According to the breakdown by KPMG and EY, the new law reclassifies companies.

Small Company: Turnover of N100 Million or less.

The Benefit: These small companies are now effectively exempt from paying Company Income Tax (CIT).

If you are a bootstrapped indie hacker, a digital agency, or a small e-commerce store doing less than N100M a year, your tax burden just dropped significantly. This is designed to encourage small businesses to enter the formal sector without being crushed by taxes.

The Catch: Digital Services Tax (DST) However, it's not all good news—especially for consumers. The Act aggressively targets "Non-Resident Companies"—think Netflix, Zoom, AWS, and Facebook.

The Rule: These companies must now pay strict taxes on profits derived from Nigeria.

The Consequence: Expect these global giants to pass that cost down to you. We predict a 5-10% price hike on your favorite software subscriptions (SaaS) in Q1 2026 as they adjust to the new "Digital Services Tax" compliance costs.

The "Fiscalization" of Everything The Act also mandates the use of electronic invoicing for all VATable transactions. This means the days of issuing a manual paper invoice are numbered. If you run a B2B business, you will need to integrate your accounting software directly with the FIRS database sooner rather than later.

Verdict For the small guy, 2026 is the best year to incorporate. For the big multinationals, the "free lunch" in Nigeria is officially over.
